TRANSPOLINK, INC. TERMS OF USE AGREEMENT

FOREWARD

• This Agreement sets forth the terms and conditions for your use of this TranspoLink Web site (the "Site").
  

• It describes your responsibilities and limits our liability, among other things.
  

• All users should read this document (the "Terms of Use") carefully before submitting a registration form or using the Site, especially the Disclaimer of Warranties and Limitation of Liability governing the Site.

ACCEPTANCE OF TERMS

• By accessing or using this Site, which includes your acceptance or use of any of the information, documents, images, software and products (collectively, the "Materials") or various services (collectively, the "Services"), you agree to the Terms of Use.

GENERAL TERMS

• TranspoLink reserves the right to change the Terms of Use from time to time at its sole discretion. The amended terms shall automatically become effective 10 days after they are posted. These Terms of Use may not otherwise be modified, except in writing signed by both parties. If you do not agree with an amendment to these Terms of Use, you have the right to terminate membership or use of this Site at any time. Your use of the Site will be subject to the most current version of the Terms of Use posted on the Site at the time of such use.
  

• If you breach the Terms of Use, your authorization to use this Site automatically terminates and you must immediately destroy any Materials downloaded or printed from the Site.
  

• TranspoLink may change, suspend or discontinue any aspect of the Site at any time, including the availability of any feature, content or service. TranspoLink may also impose limits on certain features and services or restrict your access to parts or all of the features or services without notice or liability.
  

• This Agreement is void where prohibited by law, and the right to access the Site and Materials is hereby revoked is such jurisdictions.
  

REGISTRATION AND MEMBER INFORMATION

• Certain portions of the Site are only available to individuals and entities that have become registered members of TranspoLink as described in the Terms of Use ("Members").

• To become a Member of TranspoLink you must complete TranspoLink’s registration form. You will be asked to select a user name and password. You may not (i) select a user name of another person with the intent to impersonate that person; (ii) use a user name in which another person has rights without such person’s authorization (iii) use a user name that TranspoLink, in its sole discretion, deems offensive. By submitting a registration form, you represent and warrant (a) that you are 18 years of age or over, and (b) you personally are signing up as a Member, or that you are signing up as a Member on behalf of an entity you have identified in the registration form and that you are authorized to sign and bind that entity; and (c) the information on the registration form is current, complete, and accurate. TranspoLink reserves the right to accept or reject Member registrations for TranspoLink. Upon acceptance of Member’s registration form, TranspoLink shall provide to Member a confirmation code. Upon Member receipt of that confirmation code, TranspoLink authorizes Member to access and use the Site subject to the Terms of Use. TranspoLink reserves the right to disapprove your registration or terminate your use of the Site for any reason at any time, in its sole discretion.
  

• You are responsible for maintaining the confidentiality of your password, which you will not have to reveal to any representative or agent of TranspoLink.

• You shall notify TranspoLink of any known or suspected unauthorized use(s) of your account, or any known or suspected breach of security, including loss, theft, or unauthorized disclosure of you password.

PAID SERVICES

• Certain Services of the Site are available only through the purchase of a subscription or the payment of fees (collectively, the "Paid Services").
  

• To subscribe to or use a Paid Service you agree to provide TranspoLink with accurate and complete billing information, including your legal name, address and telephone number, and to update this information within 5 days of any changes to it. Payment by fraudulent terms will result in the immediate termination of your account with TranspoLink.
  

• The additional terms specific to each Paid Service, which are incorporated as part of this Agreement and apply to you only if you purchase or use a Paid Service, can be found at the end of this agreement.

TRYOUT PRODUCTS AND TRIAL AGREEMENTS

• Some services available on or from the Site may be tryout versions of products or products or services subject to a limited trial period. To the extent that any provision of this paragraph conflicts with any other provision of the Terms of Use, this paragraph shall supercede such other terms with respect to the tryout or trial versions, but only to the extent necessary to resolve any conflict in terms. THE TRYOUT TRIAL VERSIONS OF PRODUCTS OR SERVICES MAY HAVE LIMITED FUNCTIONALITY AND/OR FUNCTION FOR A LIMITED PERIOD OF TIME AND SUCH VERSIONS ARE OFFERED ON AN "AS IS" BASIS AND SOLEY FOR DEMONSTRATION PURPOSES. If the product or service is offered for a limited time, then such product or service will terminate operation after a designated period of time (i.e. 10, 15, 30, or 60 days) following installation or commencement of service as specified in the appropriate license or service terms ("Time Out Date"). Upon the Time Out Date, the license or service agreement for such tryout or trial version will terminate and all rights to use the product or service will cease unless and until any fees or charges for the commercial version of such product or service is received by TranspoLink. After the Time Out Date any files, documents or other material created with such product or service, or stored on the Site and accessible as part of such tryout or trial version shall no longer be accessible and any risk of loss for all work created or material stored shall be borne solely by the Member or user.

LIMITATIONS OF USE

• Users may use the Site in accordance with this Terms of Use Agreement, including TranspoLink’s "Acceptable Use Policy", which is available at the end of this agreement.
  

• Your user name or password may not be used by or transferred to any one else. You shall be fully liable for any charges, damages, or losses that may be incurred or suffered as a result of you or your personnel’s failure to maintain the strict confidentiality of their user name or passwords.
  

• You agree not to use any means to circumvent log in, password, and other protections TranspoLink puts in place to restrict access to certain parts of the Site or attempt to interfere with the operation of the Site in any manner.

LIMITATIONS OF USE OF SITE INFORMATION

• With respect to information available on the Site, including through the Paid Services, users may display, download, and print that information subject to the following conditions:
  

  1. The documents and information may be used solely for personal, informational, and internal purposes.
     

  2. Except as expressly permitted, the documents and information may not be modified or altered in any way.
     

  3. Except as expressly permitted, the documents and information on the Site may not be distributed electronically or otherwise to anyone, including but not limited to, others in the same company or organization without the express prior written consent of TranspoLink.
     

  4. You may not remove any copyright, trademark or other proprietary notices contained in the documents and information.
     

  5. TranspoLink reserves the right to revoke the authorization to view, download, and print the documents and information available on this Site at any time, and any such use shall be discontinued immediately upon written notice from TranspoLink.
     

  6. Subject to these Terms of Use, TranspoLink hereby grants you a personal, nontransferable, nonexclusive, non-sublicensable license to use the Materials solely for viewing and otherwise using the Site and the Services in accordance with the Terms of Use, and for no other purpose.

  
  

• The rights specified above to view, download, and print the documents and information available on this Site are not a right to copy the design, layout, or look and feel of the Site apart from the uses permitted herein. Elements of this Site are protected by trade dress and other laws and may not be copied or imitated in whole or in part. All rights, title and interest in and to the software, user interface and content made available from, on or through this Site shall belong to TranspoLink or our third-party providers or suppliers, including all modifications thereof and enhancements thereto.

COPYRIGHT & TRADEMARKS

• The Materials and Services on this Site, including but not limited to, the compilation of all content, are the property of TranspoLink or TranspoLink’s users, suppliers, service providers, sponsors, licensors or affiliates (collectively, "Business Partners") , and are protected by United States and international copyright law, trademark law, and trade secret law, as well as other state, federal and international laws and regulations.
  

• Except as expressly provided herein, TranspoLink does not grant any express or implied right to you under any patent, copyrights, trademarks, rights in trade secrets, or other intellectual property rights with regards to the Material or Services.
  

• Except as expressly permitted herein, no portion of the Materials on this Site may be reproduced, used, distributed or published in any form or by any means without the prior written permission of TranspoLink.
  

• You acknowledge TranspoLink’s right, title and interest in and to the TranspoLink trademarks found on the Site, including without limitation BidLeads, BidLink, DirectoriesPlus. No use or display of such trademarks may be made without the express written permission of TranspoLink.

LINKS

• This Site contains links to third-party Web sites that are not under the control of TranspoLink.
  

• TranspoLink makes no representations whatsoever about any other Web site to which you may have access to through this Site.
  

• When you access a non-TranspoLink Web site, you do so at your own risk and TranspoLink is not responsible for the accuracy or reliability of any information, data, opinions, advice, or statements made on these sites; or for the quality of any products or services available on such sites; or for any damage or loss caused or allegedly caused through or in connection with use of or reliance on the content, goods, or services on obtained on or through any such link, site, or resource.
  

• TranspoLink provides these links merely as a convenience and the inclusion of such links does not imply that TranspoLink endorses or accepts responsibility for the content or uses of such Web sites.

PRIVACY

• TranspoLink’s policy on privacy is set out in the "Privacy Policy".

DEALINGS WITH ADVERTISERS

• Your correspondence or business dealings with, or participation in promotion of, advertisers found on or through the Site, including payment and delivery of goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such advertiser.
  

• You agree that TranspoLink shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings or as the result of the presence of such advertiser on the Site.
  

DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY

• THE TRANSPOLINK SITE IS ONLY AN INFORMATION SERVICE.
  TRANSPOLINK AGGREGATES INFORMATION FROM PUBLIC AGENCIES AND AUTHORITIES AND MAKES THIS INFORMATION AVAILABLE TO USERS IN A CONVENIENT, EASILY ACCESSIBLE MANNER. TRANSPOLINK MAKES NO REPRESENTATIONS ABOUT THE SUITABILITY, RELIABILITY, AND ACCURACY OF THE INFORMATION PROVIDED HEREIN. IF THE INFORMATION CONTAINED IN A BID PROPOSAL, BID PLAN, BID PACKAGE, OR ANY OTHER DOCUMENT PUBLISHED BY AN ENTITY PUBLICIZING A BID (COLLECTIVELY "BID DOCUMENTS") IS INCONSISTENT WITH THE INFORMATION PROVIDED BY TRANSPOLINK, THE BID DOCUMENTS CONTROL. • WITHOUT LIMITING THE FOREGOING, TRANSPOLINK MAKES NO WARRANTY THAT (1) THE SERVICES AND MATERIALS WILL MEET YOUR REQUIREMENTS, (2) THE SERVICES AND MATERIALS WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (3) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICES OR MATERIALS WILL BE EFFECTIVE, ACCURATE OR RELIABLE, (4) THE QUALITY OF ANY PRODUCTS, SERVICES, OR INFORMATION PURCHASED OR OBTAINED BY YOU FROM THE SITE WILL MEET YOUR EXPECTATIONS.
  

• SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES OR LIMIT HOW LONG AN IMPLIED WARRANTY MAY LAST, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. TO THE EXTENT PERMISSIBLE, ANY IMPLIED WARRANTIES THAT CANNOT BY LAW BE EXCLUDED ARE LIMITED TO NINETY (90) DAYS.
  

• TRANSPOLINK ASSUMES NO RESPONSIBILITY FOR ERRORS OR OMISSIONS IN THE MATERIAL AND/OR SERVICES OR INFORMATION, MATERIALS, OR SERVICES OF THIRD PARTIES THAT ARE REFERENCED BY OR LINKED TO THIS SITE. REFERENCES TO OTHER COMPANIES, THEIR SERVICES AND PRODUCTS, ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED.
  

• YOU ACKNOWLEDGE THAT ANY RELIANCE UPON ANY SERVICES, MATERIALS OR INFORMATION SHALL BE AT YOUR SOLE RISK.
  

• YOU ALSO ACKNOWLEDGE THAT EVERY BUSINESS OR PERSONAL DECISION, TO SOME DEGREE OR ANOTHER, REPRESENTS AS ASSUMPTION OF RISK AND THAT TRANSPOLINK, IN PROVIDING ACCESS TO INFORMATION, UNDERWRITES, CAN UNDERWRITE, OR ASSUMES YOUR RISK IN ANY MANNER WHATSOEVER. TRANSPOLINK SHALL NOT BE LIABLE TO YOU FOR ANY LOSS OR INJURY ARISING OUT OF OR CAUSED, IN WHOLE OR IN PART, BY ANY INFORMATION ACQUIRED THROUGH THE SERVICE.
  

• IN NO EVENT SHALL TRANSPOLINK OR ITS BUSINESS PARTNERS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY SPECIAL, PUNITIVE, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES OF ANY KIND, OR ANY DAMAGES WHATSOEVER, INCLUDING, WITHOUT LIMITATION, LOSS OF USE, DATA, OR PROFITS, YOU MAY INCUR IN CONNECTION WITH THE SITE, THE MATERIALS OR THE SERVICES, YOUR USE THEREOF, OR ANY OF THE DATA AND OTHER MATERIALS TRANSMITTED THROUGH OR RESIDING ON OUR SYSTEM, REGARDLESS OF THE TYPE OF CLAIM OR THE NATURE OF THE CAUSE OF ACTION, EVEN IF TRANSPOLINK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE OR LOSS. IN NO EVENT SHALL TRANSPOLINK’S OR ANY OF ITS BUSINESS PARTNER’S LIABILITY FOR THE SUBJECT MATTER OF THIS AGREEMENT EXCEED ONE HUNDRED DOLLARS.
  

• SOME JURISDICTIONS PROHIBIT THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
  

• THE USE OF SERVICES OR DOWNLOADING OR OTHER ACQUISITIONS OF ANY MATERIALS THROUGH THE SITE IS DONE AT YOUR OWN DISCRETION AND RISK, AND WITH YOUR AGREEMENT THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM SUCH ACTIVITIES. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM TRANSPOLINK OR FROM THE SITE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THE TERMS OF USE.
  

• USERS ACKNOWLEDGE THAT THE ALLOCATION OF RISK AND THE LIMITATIONS OF LIABILITY CONTAINED IN THIS AGREEMENT IS A MATERIAL CONSIDERATION FOR TRANSPOLINK ENTERING INTO THIS AGREEMENT.

TERM AND TERMINATION

• This agreement is effective as of the date of your acceptance of this agreement, and continues in force and effect until terminated in accordance to this section. Paid services have additional terms explicitly stated at the end of this agreement. If you become dissatisfied with the site, in any way, your only recourse is to immediately discontinue use of the site. In TranspoLink’s sole discretion, TranspoLink may immediately issue a warning, temporarily suspend, indefinitely suspend or terminate your membership or authorization to use the site, and reserve the right to pursue any other remedies that may be available to TranspoLink if you breach this agreement or if TranspoLink is unable to verify or authenticate any information you provide. If you breach the terms of use, your authorization to use this site automatically terminates and you must immediately destroy any materials downloaded or printed from the site.
  

• The limitations and disclaimers of warranties, and the indemnity obligations, all provisions of governing law, jurisdiction and venue, shall survive the termination of this agreement.
  

INDEMNITY

• At TranspoLink’s option and request, you shall, at your own expense, indemnify, defend, and hold TranspoLink and its Business Partners, subsidiaries, affiliates, officers, employees, or agents, harmless from and against any losses, costs, damages, liabilities, expenses (including reasonable attorneys’ fees), arising out of or related to a third party claim, action or allegation (a) related in any way to a transaction or dispute between you and a third party, (b) based on or caused by unauthorized access to the Site through your account, (c) is based on facts or alleged facts that would constitute a breach of any your obligations, representations, warranties, or covenants under this Agreement, or (d) any act or omission, including but not limited to negligence arising out of or in connection with this Agreement or your use of the Site, Material or Services.
  

• TranspoLink reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you shall not in any event settle or otherwise dispose of any matter without the prior written consent of TranspoLink.

ENTIRE AGREEMENT

• This Terms of Use Agreement constitutes the entire agreement between you and TranspoLink with respect to the Site and supersedes all prior agreements or previous discussions (written or oral) between you and TranspoLink.
  

• This Agreement may be modified only by a signed agreement, or as follows: TranspoLink may modify this Agreement by posting the new terms and conditions in the location the previous terms and conditions were posted. If user continues to use the Site or Services, then user will be considered to have accepted the modifications.

MISCELLANEOUS PROVISIONS

• TranspoLink’s failure to enforce any provision of this Agreement will not be construed as a waiver of any provision or right. In the event that a portion of this Agreement is held unenforceable, the unenforceable portion will be construed in accordance with applicable law as nearly as possible to reflect the original intentions of the parties, and the remainder of the provisions will remain in force and effect. Waiver by either party of a breach of any provision of this Agreement or the failure by either party to exercise any right hereunder shall not operate or be construed as a waiver of any subsequent breach of that right or as a waiver of any other right. You may not assign, transfer or delegate your rights or obligations hereunder, in whole or in part, without our prior written consent. These Terms of Use shall be binding upon and inure to the benefit of each of us and our respective successors and permitted assigns. Any cause of action brought by you against us or our affiliated parties must be instituted with one (1) year after the cause of action arises or be deemed forever waived and barred.
  

• TranspoLink will not be liable in any amount for failure to perform any obligation under this Agreement if such failure is caused by the occurrence of cause beyond the reasonable control of TranspoLink including, without limitation, outages of the internet or connections thereto, communication outages, earthquake, fire, flood, war, or act of God; or any acts of governmental bodies or authorities.
  

• You shall comply with all applicable laws, statutes, ordinances and regulations regarding use of the Site.
  

• Except as explicitly stated otherwise, any notices shall be given by email to info@TranspoLink.com or to the email address you provided to TranspoLink during the registration process (in your case), or such other address as the party shall specify. Notice shall be deemed given 24 hours after email is sent, unless the sending party is notified that the email address is invalid. Alternatively, we may give you notice by certified mail, postage prepaid and return receipt requested, to the address provided to TranspoLink during the registration process. In such case, notice shall be deemed given 3 days after the date of mailing.

GOVERNING LAW AND JURISDICTION

• This Agreement shall be governed in all respects by the laws of the State of New York as such laws are applied to agreements entered into and to be performed entirely within New York between New York residents, without regard to conflicts of law provisions. Any controversy involving TranspoLink arising from or in any way related to this Agreement or your use of the Site shall be heard in the appropriate State or Federal court in the County of New York, New York and you irrevocably consent to the jurisdiction of such courts.

ACCEPTABLE USE
You agree not to use the Site to:

• Upload, post or otherwise transmit any data or content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive to another’s privacy, hateful, or racially, ethically or otherwise objectionable.
  

• Harm minors in any way.
  

• Impersonate any person or entity, including, but not limited to, a TranspoLink official, or falsely state or otherwise misrepresent your affiliation with a person or entity.
  

• Upload, post or otherwise transmit any content that you do not have a right to transmit under law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements).
  

• Upload, post or otherwise transmit any content that infringes any patent, trademark, secret, copyright or other proprietary rights of any party.
  

• Upload, post or otherwise transmit any unsolicited or unauthorized advertising, promotional material, "junk mail", "spam", "chain letters", "pyramid schemes", or any other forms of solicitation.
  

• Upload, post or otherwise transmit any material that contains software viruses or a computer code, files or programs designed to interrupt, destroy or limit the functions of any computer software or hardware or telecommunications equipment.
  

• Interfere with or disrupt TranspoLink or servers or networks connected to TranspoLink, disobey any requirements, procedures, policies or regulations of networks connected to TranspoLink.
  

• "Stalk" or otherwise harass another.
  

• Collect or store personal data about other users.
  

• Promote or provide instructional information about illegal activities, promote physical or injury against any group or individual, or promote any act of cruelty to animals. This may include, but is not limited to, providing instructions on how to assemble bombs, grenades and other weapons, and creating "crush" sites.

You also agree not to use TranspoLink to engage in commercial activities without enrolling in the pre-approved affiliate programs. This includes, but is not limited to, the following activities:

• Offering for sale any products or services

• Soliciting for advertisers or sponsors

• Conducting raffles or contest that require any type of entry fee.

• Displaying a sponsorship banner of any kind

• Displaying banners for services that provide cash or cash-equivalent prizes to users exchange for hyperlinks to their Web sites.

ADDITIONAL TERMS APPLICABLE TO THE BIDWIRE SERVICE

THE PAID SERVICE

• Subject to the terms and conditions of this Agreement and the Additional Terms Applicable to the BidLeads service, TranspoLink agrees to provide a subscription to the BidLeads service (a "Subscription") as described in BidLeads. TranspoLink may change the foregoing description or URL, or discontinue the program, in its sole discretion, provided that TranspoLink gives the user reasonable notice of such change or termination.

• TranspoLink may change or modify the fees and charges in effect or add new fees or charges, or modify billing methods at any time. Such changes shall be effective immediately upon posting of a revised version of the schedule on [Product Page].
  

• All fees and charges are due and payable in advance and are nonrefundable.
  

• You agree to pay or have paid all fees and charges incurred in connection with your user name for the service (including all applicable taxes) at rate in effect when the charges were incurred. All fees and charges incurred in connection with your user name will be billed as designated in the subscription process. YOU, AND NOT TRANSPOLINK, ARE RESPONSIBLE FOR PAYING ANY AMOUNTS BILLED TO YOUR CREDIT CARD BY A THRID PARTY REGARDLESS OF WHETHER THESE AMOUNTS WERE AUTHORIZED BY YOU.

• TranspoLink reserves the right to suspend access to your account if fees are not paid within 14 days from the due date.

TERM AND TERMINATION

• The Term of your Subscription shall commence on the date you enter into the Subscription (the "Effective Date") and shall continue for one (1) year, unless sooner terminated in accordance with the provisions of this Agreement.
  

• Your Subscription will continue to renew automatically, unless terminated by TranspoLink or until you notify TranspoLink by telephone, e-mail or mail of your decision to terminate your subscription at least thirty (30) days before the beginning of a new term or as otherwise provided herein.
  

• TranspoLink may also terminate your Subscription if you breach any material terms or conditions of this Agreement and fail to cure such breach within ten (10) days. TranspoLink reserves the right to suspend access to and use of the Site pending cure of a breach.
  

• In addition, either party may terminate your Subscription, for any reason or for no reason, upon thirty (30) days notice to the other.
  

• If you cancel before the end of your Subscription Term, or if TranspoLink terminates your Subscription due to breach by you of the Terms of Use, you are not entitled to a refund of any subscription fees.
  

• Your Subscription is personal to you, and you may not assign your rights or obligations to anyone.
  

• Upon termination of this Subscription for any reason, you shall cease to access or to use any information obtained through the Paid Service.
